Terms of Service

Introduction

Welcome to Onarvo. These Terms of Service (“Terms”) govern your access to and use of the Onarvo platform, including the Onarvo web application and Onarvo Care mobile application (collectively, the “Services”), operated by Onarvo Group (“we,” “our,” or “us”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Services. If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Account Registration

To access certain features of the Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activities under your account

3. Acceptable Use

You agree to use the Services only for lawful purposes. You agree not to:

• Violate any applicable laws or regulations
• Infringe the rights of others, including intellectual property rights

4. Subscription and Fees

Access to certain features of the Services may require a paid subscription. If you subscribe to a paid plan:

• Fees are charged in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change our fees with 30 days' notice
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of your account

5. Intellectual Property

The Services and their original content, features, and functionality are owned by Onarvo Group and are protected by international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes, subject to these Terms.

You retain ownership of any data you submit to the Services (“User Content”). By submitting User Content, you grant us a licence to use, store, and process that content as necessary to provide the Services.

6. Data Protection and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that your use of the Services complies with all applicable data protection laws, including GDPR where applicable.

7. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with reasonable notice
• Conduct emergency maintenance without notice when necessary
• Modify or discontinue features with reasonable notice

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. You use the Services at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Onarvo Group SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Onarvo Group and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Content
• Provisions that by their nature should survive will remain in effect

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Services and updating the “Last Updated” date.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services.
• Severability: If any provision of these Terms is found invalid, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
